Terms & Conditions
Pristine Cleaning Team, LLC
Effective Date: September 14, 2026
The following terms and conditions (“Terms and Conditions”) are incorporated into and made part of any estimate, quote, proposal, order form, site schedule, statement of work, or other agreement (collectively, the “Quote”) between Pristine Cleaning Team, LLC (“Pristine Cleaning”) and the client identified therein (“Client”). Together, the Quote and these Terms and Conditions form the agreement between the parties (this “Agreement”). By accepting an Quote, whether by signature, electronic acceptance, written or email approval, payment of any deposit, placing a card on file, or permitting Services to begin, Client agrees to these Terms and Conditions.
- Services. Client engages Pristine Cleaning to provide the services described in the Quote (“Services”). Depending on the Quote, Services may include: recurring janitorial and commercial cleaning; deep cleaning; move-in and move-out cleaning; post-construction and post-renovation cleanup; short-term rental and turnover cleaning; residential cleaning; interior and exterior window cleaning; power washing and exterior surface treatment; floor care, including stripping, waxing, buffing, and carpet cleaning; event, venue, and post-event cleaning; disinfection services; trash and debris removal; and any other cleaning, janitorial, facility, property, or related service that Pristine Cleaning agrees in writing to perform, whether or not that service is listed in this Section. The categories listed above are illustrative and do not limit the Services that may be described in an Quote. All Services, however described, are governed by this Agreement.
Services will be performed at the locations, on the schedule, and for the price stated in the Quote, and will include the tasks and service levels customary for the type of facility and scope described. Pristine Cleaning will furnish labor, equipment, and standard supplies necessary to perform the Services, unless otherwise specified in the Quote. Consumable products stocked for building occupants (including paper products, soap, and can liners) are not included unless the Quote says so, and if supplied by Pristine Cleaning may be billed as a pass-through expense.
- Quotes, Scope, and Exclusions. Each Quote is based on the site conditions, square footage, occupancy, finishes, and information observed or provided at the time of the walkthrough or bid, and is valid for thirty (30) days unless it states otherwise. If actual conditions differ materially from those assumed, Pristine Cleaning may revise pricing or scope by written notice before performing, and Client may accept the revision or decline the affected Services.
Unless expressly stated in the Quote, the Services do not include: remediation of mold, asbestos, lead, or other hazardous materials; cleanup of blood, bodily fluids, needles, drug residue, or other biohazards; pest or rodent infestation, animal waste, or odor remediation; hoarding or extreme-condition cleanouts; exterior or high-elevation window cleaning, or any work requiring lifts, scaffolding, or ladders above two-step height; moving of heavy furniture, equipment, or electronics; handling of Client records, cash, medications, firearms, or items of extraordinary value; snow or ice removal; or any maintenance, repair, restoration, or handyman work.
Pristine Cleaning may decline to begin or may stop work at any site where conditions are unsafe, unsanitary beyond the agreed scope, or where required access, utilities, or lighting are unavailable, in each case without liability. A visit affected in this way is handled under Section 6.
Power washing and exterior services. Where the Quote includes power washing, exterior surface treatment, or exterior window cleaning, Client must disclose in advance any known defects or vulnerabilities in the surfaces to be treated, including deteriorated mortar, failing paint or sealant, damaged siding, compromised window seals, and prior water intrusion, and must ensure windows and exterior openings are closed and that water and electrical access are available. Pristine Cleaning uses pressure settings and methods appropriate to the surface but does not guarantee complete removal of staining, oxidation, efflorescence, rust, paint transfer, or organic growth, and is not responsible for damage arising from pre-existing surface conditions, previously applied coatings, or defects not disclosed to it in advance. Surface treatments are intended to slow future buildup and carry no warranty of duration or result. Exterior window cleaning is limited to glass and frames reachable safely from the ground or from equipment identified in the Quote.
Incidental and accommodation work. Pristine Cleaning’s crews may occasionally perform minor tasks outside the scope stated in the Quote as a courtesy to Client. Any such work is performed AS IS, without warranty of any kind, is provided at no charge unless otherwise agreed, creates no obligation to perform that task again or on any future visit, does not expand the scope of the Services, and is excluded from the remedies in Section 9 and the damage claim process in Section 10 except in the case of Pristine Cleaning’s gross negligence or willful misconduct. Client should not rely on accommodation work being repeated, and any task Client wishes to add to the scope must be added by Change Order under Section 3.
- Change Orders. Client may request changes, additions, or deletions to the Services described in the Quote by submitting a written request. No change is effective unless approved in writing by Pristine Cleaning (each, a “Change Order”). Pristine Cleaning will provide written notice of any resulting adjustment to pricing, frequency, or schedule before performing the change. If Pristine Cleaning determines a change is necessary due to altered site conditions, occupancy, access, or Client requirements, it will notify Client in writing and obtain written approval prior to proceeding. Verbal requests or authorizations are not binding until confirmed in writing.
- Fees, Expenses, and Payments. Client shall pay the fees stated in the applicable Quote for Services performed by Pristine Cleaning, together with all approved add-on services and Change Orders, pass-through expenses, applicable taxes, and any fees or interest permitted under this Agreement.
(a) Card on File Required. As a condition of service, Client must place and maintain a valid credit or debit card on file with Pristine Cleaning, and authorizes Pristine Cleaning and its payment processor to store that card and to charge it for all amounts due under this Agreement. Client must provide replacement card information within five (5) days if the card on file expires, is cancelled, is replaced, or is declined. Failure to maintain a valid card on file is a material breach of this Agreement, and Pristine Cleaning may suspend Services until a valid card is on file. Card data is held by Pristine Cleaning’s PCI-compliant payment processor; Pristine Cleaning does not store full card numbers itself.
(b) Deposits. Pristine Cleaning may require a deposit for any Services, and will state the deposit amount in the Quote. Where a deposit is required, Services will not be scheduled and no work will begin until the deposit is received. The deposit is applied against the final amount due for the Services. If Client cancels or postpones the Services after paying a deposit, the deposit is non-refundable, except that Pristine Cleaning may in its discretion apply it to rescheduled Services performed within ninety (90) days. Deposits are commonly required for one-time, project-based, post-construction, event, exterior, and large-scope work, and may be required for recurring Services where the Quote says so.
(c) Per-Visit and One-Time Services. Unless the Quote establishes monthly or other recurring billing, charges will be processed to the card on file upon completion of each service visit or, for project-based work, upon completion of the project.
(d) Monthly and Recurring Services (Net 30). If the Quote establishes a monthly rate or other recurring billing, Pristine Cleaning will issue an invoice on the first (1st) day of each month covering Services performed during the preceding month, together with any approved add-ons, pass-through expenses, and taxes. Payment is due in full within thirty (30) days of the invoice date. Client may pay by check, ACH, or card during that period. If the invoice is not paid in full by the due date, Client authorizes Pristine Cleaning to charge the entire unpaid balance to the card on file at any time on or after the day following the due date, without further notice or authorization.
(e) Late Payment. Any amount not paid when due accrues interest at one and one-half percent (1.5%) per month, being eighteen percent (18%) per year, or the maximum rate permitted by law if lower, calculated from the due date until paid in full. If a payment is declined, returned, reversed, or not received when due, a $35 failed-payment fee (or the maximum permitted by law, if lower) may apply per occurrence.
(f) Suspension for Nonpayment. If any undisputed amount remains unpaid more than ten (10) days after its due date, Pristine Cleaning may suspend or cancel further Services at any or all of Client’s locations until the account is brought current. Suspension does not relieve Client of the obligation to pay amounts due, does not extend or toll the Term, and Pristine Cleaning shall have no liability for any consequence of a suspension made under this section.
(g) Billing Disputes and Chargebacks. Client must notify Pristine Cleaning in writing within five (5) days of the invoice or charge date of any good-faith billing dispute, identifying the specific amount disputed and the basis for the dispute. Undisputed amounts remain due and payable as scheduled and may be charged to the card on file. Client agrees not to initiate a chargeback, payment dispute, or stop-payment order without first following this process. If Client initiates a chargeback in violation of this section, Client shall reimburse Pristine Cleaning for the disputed amount, all processor and bank fees incurred, and a $50 administrative fee.
(h) Collection Costs. Client shall pay all costs of collection incurred by Pristine Cleaning, including reasonable attorneys’ fees, court costs, filing fees, and collection agency fees, whether or not suit is filed.
(i) No Refunds; No Set-Off. Fees for completed Services are non-refundable. Acceptance of partial payment does not constitute satisfaction of the full balance, and no restrictive notation on a check or other instrument will limit Pristine Cleaning’s rights. All amounts due to Pristine Cleaning are payable without set-off, deduction, withholding, or counterclaim.
- Price Adjustments. Pristine Cleaning may adjust the fees stated in the Quote no more than once in any twelve (12) month period upon at least thirty (30) days’ prior written notice to Client. In addition, if Client’s occupancy, square footage, hours of operation, traffic, finishes, or service requirements change materially, or if Client’s building imposes new requirements affecting the cost of performance, Pristine Cleaning may adjust pricing upon thirty (30) days’ written notice. If Client does not accept an adjustment, Client may terminate the affected Services effective at the end of the notice period by written notice given within that period, and no early termination fee will apply to a termination made in this manner.
- Site Access, Lockouts, and Schedule Changes. Client is responsible for ensuring that Pristine Cleaning has timely access to all scheduled areas at the scheduled times. If Pristine Cleaning’s crew arrives and cannot gain access, is turned away, is denied access to a scheduled area, or cannot perform because of conditions within Client’s control, the visit will be billed as a trip charge equal to fifty percent (50%) of the price for that visit, and the Services for that visit are not owed. Client must give at least forty-eight (48) hours’ written notice to cancel or reschedule an individual scheduled visit; visits cancelled or rescheduled with less notice will be billed at fifty percent (50%) of the price for that visit. Keys, fobs, badges, and access codes provided to Pristine Cleaning will be safeguarded, used only to perform the Services, and returned or deleted promptly upon termination.
- Engagement Type, Term, and Termination. This Agreement commences on the Effective Date, which is the date of the applicable Quote. The Quote specifies one of three engagement types, and the corresponding subsection below governs the term and cancellation of the Services. If the Quote does not specify an engagement type, the 12-Month Term applies.
(a) 12-Month Term (default). Services continue for an initial term of twelve (12) months (the “Initial Term”) and automatically renew for successive twelve (12) month terms (each, a “Renewal Term,” and together with the Initial Term, the “Term”) unless either party provides written notice of non-renewal at least sixty (60) days before the end of the Initial Term or then-current Renewal Term. Early termination by Client is governed by subsection (e).
(b) Month-to-Month. Services continue on a month-to-month basis until cancelled. Either party may cancel for any reason upon thirty (30) days’ prior written notice. Services continue during the notice period and Client remains responsible for all Services performed through the effective date of cancellation, billed in the ordinary course under Section 4. No early termination fee applies to a cancellation made in accordance with this subsection. Rate adjustments under Section 5 require only thirty (30) days’ notice for month-to-month Services.
(c) One-Time or Project-Based. Services consist of a defined scope of work performed once or over a defined project period. This Agreement continues until the Services are completed and paid for in full, after which it expires without further notice. There is no renewal, no recurring obligation, and no early termination fee. Client may cancel before work begins by written notice; any deposit paid is handled under Section 4(b), and a cancellation received less than forty-eight (48) hours before the scheduled start is additionally subject to the charge in Section 6. Completion of the Services does not obligate either party to any further engagement.
(d) Termination for Cause. Regardless of engagement type, Pristine Cleaning may terminate this Agreement upon written notice if Client fails to pay any undisputed amount within ten (10) days after receiving written notice of nonpayment, or if Client otherwise materially breaches this Agreement and fails to cure such breach within fifteen (15) days after written notice. Client may terminate upon written notice if Pristine Cleaning materially breaches this Agreement and fails to cure within fifteen (15) days after written notice.
(e) Early Termination Fee (12-Month Term only). If Client terminates Services under a 12-Month Term, or discontinues Services at any site, before the end of the then-current Term for any reason other than Pristine Cleaning’s uncured material breach, or if Pristine Cleaning terminates for Client’s nonpayment or material breach, Client shall pay an early termination fee equal to the lesser of (i) fifty percent (50%) of the fees that would have become payable for the remainder of the then-current Term, or (ii) three (3) months of the average monthly fees billed to Client over the preceding six (6) months. The parties agree that this amount is a reasonable estimate of the losses Pristine Cleaning will incur in staffing, scheduling, training, equipping, and supplying a dedicated crew for Client’s account, which losses are difficult to determine with precision, and that the fee is liquidated damages and not a penalty. The fee does not apply to Services cancelled under subsection (b) or (c), or to a termination under Section 5 following a rate adjustment Client declines.
(f) Effect of Termination. Upon termination or expiration for any reason, all amounts then outstanding, together with any early termination fee, become immediately due and may be charged to the card on file. Client shall pay for all Services performed through the effective date of termination. Pristine Cleaning will return or delete all keys, fobs, badges, and access codes within a reasonable period, and Client will remove Pristine Cleaning’s access to any building systems or portals.
- Performance Standards and Client Responsibilities. Each party represents and warrants that it is duly organized, validly existing, and in good standing under the laws of its jurisdiction; has full authority to enter into this Agreement and perform hereunder; and that accepting the Quote and performing the Services will not violate any other agreement or legal obligation. This Agreement is a legal, valid, and binding obligation of each party, enforceable according to its terms.
Pristine Cleaning will perform the Services in a professional, workmanlike manner consistent with generally accepted industry standards and the scope, schedule, and locations set out in the Quote. Pristine Cleaning may use qualified employees or subcontractors. Because cleaning occurs in occupied buildings, results can be affected by building access, occupant use, product availability, weather, and other factors outside Pristine Cleaning’s control; therefore, Pristine Cleaning does not guarantee uninterrupted service windows or flawless conditions at all times, but will act reasonably to meet agreed standards and promptly address reasonable concerns communicated by Client.
Client will: (i) provide timely access to all areas scheduled for cleaning (including keys, badges, alarm codes, elevator permissions, and after-hours entry if applicable); (ii) ensure utilities (water, electricity, lighting, HVAC) and safe trash and recycling access are available; (iii) promptly communicate site rules, security procedures, and any hazards (for example, wet floors, biohazards, sharps, or chemicals); (iv) secure valuables, cash, records, and sensitive materials, and remove or clearly label items that should not be moved or cleaned; (v) identify a point of contact for day-to-day coordination and respond in a timely manner to questions affecting service; and (vi) obtain any building approvals needed for Pristine Cleaning to perform. Client represents that any instructions it gives are lawful and do not infringe third-party rights.
If Pristine Cleaning is delayed or prevented from performing because of access issues, schedule changes, added scope, unusual occupancy or traffic, or other conditions within Client’s control, service windows may be extended on a day-for-day basis or as reasonably needed.
- Service Quality and Remedies. Client’s sole and exclusive remedy for any claim regarding the quality of Services is a re-clean or correction by Pristine Cleaning of any material deficiency in the affected area or areas, provided Client notifies Pristine Cleaning in writing within twenty-four (24) hours after completion of that service visit and reasonably identifies the issue. Pristine Cleaning will schedule the re-clean promptly and at no additional charge. Absent such timely notice, the Services for that visit are deemed satisfactory and accepted, subject only to any express warranties stated in these Terms and Conditions. A quality concern does not entitle Client to withhold, delay, or offset payment of any invoice.
EXCEPT FOR THE EXPRESS COMMITMENTS STATED IN SECTION 8 AND THIS SECTION 9, THE SERVICES ARE PROVIDED AS IS, AND PRISTINE CLEANING DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Pristine Cleaning does not warrant any particular result, appearance, or outcome on aged, worn, damaged, previously treated, or improperly maintained surfaces, fixtures, or materials, and does not warrant the removal of any specific stain, odor, buildup, or discoloration unless expressly stated in the Quote.
- Damage Claims. Client must report any claim of property damage or loss allegedly caused by Pristine Cleaning in writing within forty-eight (48) hours after the service visit in question, identifying the item or area affected, the date and time of the visit, and including photographs where available. Client must preserve the item or area in its condition and give Pristine Cleaning a reasonable opportunity to inspect before any repair, replacement, cleaning, or disposal. Claims not reported within forty-eight (48) hours are waived.
For a verified claim, Pristine Cleaning’s obligation is, at its option, repair of the item, replacement at actual depreciated value, or a credit toward Services, and is in all cases subject to Sections 17 and 18. Pristine Cleaning is not responsible for: pre-existing damage, wear, or deterioration; items that were loose, unstable, unsecured, improperly mounted, or already damaged; failure or deterioration of aged or compromised surfaces and fixtures, including unsealed grout or stone, worn or lifting finishes, aged blinds, and peeling paint; damage resulting from cleaning products, equipment, or methods requested or supplied by Client; items of extraordinary or sentimental value not disclosed to Pristine Cleaning in writing in advance; or loss of cash, jewelry, collectibles, electronics, or documents left unsecured.
- Insurance. Pristine Cleaning maintains commercial general liability insurance and workers’ compensation coverage as required by Maryland law, and will provide a certificate of insurance upon request. Client is responsible for insuring its own building, contents, equipment, and inventory, and agrees to look first to its own property insurance for any loss covered by that insurance. Requests for additional insured status, waivers of subrogation, or coverage limits above Pristine Cleaning’s standard policies may be accommodated at Client’s expense if agreed in writing in advance.
- Non-Solicitation of Personnel. During the Term and for twelve (12) months after it ends, Client will not, directly or indirectly, solicit for employment or engagement, hire, or engage as a contractor any employee or contractor of Pristine Cleaning who performed Services at Client’s site or sites, except with Pristine Cleaning’s prior written consent. Because Pristine Cleaning’s investment in recruiting, screening, training, and retaining personnel is difficult to quantify, Client agrees to pay Pristine Cleaning $5,000 per person as liquidated damages, and not as a penalty, for each breach of this section. A general job posting or advertisement not targeted at Pristine Cleaning’s personnel does not itself violate this section unless it results in a hire prohibited by it.
- Confidentiality. Each party may receive non-public information of the other, including pricing, floor plans, security procedures, access credentials, business operations, personnel information, and client or occupant information. Each party will use such information only to perform this Agreement, will protect it with reasonable care, and will not disclose it to third parties except to its own personnel and subcontractors who need it and are bound to comparable obligations, or as required by law. These obligations continue for two (2) years after the Term ends, and indefinitely as to access credentials and security procedures.
- Independent Contractor. Pristine Cleaning is engaged as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. Pristine Cleaning retains exclusive control over the means and methods of performing the Services (including selection and supervision of personnel, equipment, supplies, and schedules), has no authority to bind Client, and is solely responsible for its personnel, compensation, benefits, workers’ compensation, and compliance with applicable laws and building rules while on site.
- Taxes. All fees are exclusive of taxes. Client shall pay all applicable sales, use, and similar transaction taxes arising from Pristine Cleaning’s provision of Services (if any), which may be added to invoices. Each party remains responsible for its own income, franchise, and employment taxes.
- Indemnification. Each party (“Indemnifying Party”) shall indemnify, defend, and hold harmless the other party and its owners, managers, affiliates, employees, and agents (collectively, “Indemnified Parties”) from and against all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) to the extent arising out of: (i) the Indemnifying Party’s breach of this Agreement; (ii) the Indemnifying Party’s negligence or willful misconduct; or (iii) with respect to Client, any instructions, materials, or site conditions it provides (including hazards not disclosed to Pristine Cleaning), and with respect to Pristine Cleaning, bodily injury or tangible property damage caused by Pristine Cleaning’s performance of Services. The Indemnified Party shall give prompt written notice of any claim and reasonable cooperation. The Indemnifying Party shall control the defense and may not settle any claim that imposes non-monetary obligations on or admits fault of the Indemnified Party without its prior written consent.
- Limitation of Liability. To the maximum extent permitted by law, neither party shall be liable to the other for any consequential, incidental, indirect, special, exemplary, or punitive damages (including lost profits, lost business, business interruption, or loss of goodwill) arising out of or relating to this Agreement, regardless of theory and even if advised of the possibility. Pristine Cleaning shall not be liable for delays, missed windows, or service interruptions caused by Client’s access restrictions, schedule changes, unusual occupancy or traffic, supply constraints, building requirements, or other circumstances beyond Pristine Cleaning’s reasonable control.
- Cap on Damages. To the maximum extent permitted by law, Pristine Cleaning’s total aggregate liability to Client for all claims arising out of or relating to this Agreement shall not exceed the fees actually paid by Client to Pristine Cleaning under the applicable Quote in the three (3) months preceding the event giving rise to the claim. These limitations apply to all causes of action in the aggregate and are fundamental elements of the bargain reflected in this Agreement.
- Compliance with Laws. Each party shall comply with all applicable laws, rules, and regulations in connection with this Agreement and the Services. Client shall additionally comply with all building rules and security procedures; provide required notices and access permissions; disclose site hazards; and ensure that instructions given to Pristine Cleaning are lawful and do not require violation of health, safety, labor, or environmental regulations.
- Force Majeure. Pristine Cleaning is excused from delay or nonperformance to the extent caused by events beyond its reasonable control, including severe weather, flood, fire, utility outage, building closure or denial of access, public emergency, governmental action, labor disputes (not limited to Pristine Cleaning’s workforce), supply chain disruptions, epidemic or pandemic, acts of terrorism or war, or failures of transportation or communications. In such cases, Pristine Cleaning will make commercially reasonable efforts to resume or reschedule Services promptly; no liability shall arise from such delay or temporary disruption, and service windows will be extended as reasonably necessary. If a force majeure event continues for fifteen (15) days or more, either party may terminate the affected Services upon written notice, with Client remaining responsible only for Services rendered up to the effective date of such termination and for amounts already accrued.
- Marketing. Pristine Cleaning may display or reference Client’s name, logo, a general description of the work performed, and photographs of completed work that do not reveal Client’s confidential information, in professional marketing materials, proposals, or online listings of commercial clients, provided such references are professional and limited to identifying Client as a customer. Client may revoke this permission at any time by written notice, after which references will be removed from future materials within a reasonable period of time.
- Non-Disparagement. Neither party, nor its owners, employees, or representatives, shall make or publish any statement that disparages or damages the reputation of the other. Both parties agree to raise any concerns privately and in good faith. Nothing in this provision prohibits truthful statements made as required by law or pursuant to legal process, or prohibits Client from communicating with Pristine Cleaning about the Services.
- Updates to These Terms. Pristine Cleaning may update these Terms and Conditions from time to time. The version in effect on the date of the applicable Quote governs that Quote through the end of its Initial Term. Updated Terms and Conditions apply beginning with the next Renewal Term, provided Pristine Cleaning posts the updated version at pristinecleaningteam.com/terms-and-conditions/ and gives Client at least thirty (30) days’ written notice before that Renewal Term begins. Each version is identified by version number and effective date, and Pristine Cleaning will provide a copy of any prior version upon request. Client’s continued acceptance of Services after the effective date of updated Terms and Conditions constitutes acceptance of them.
- Miscellaneous. These Terms and Conditions together with the applicable Quote constitute the entire understanding between the parties and supersede all prior discussions, proposals, and representations. This Agreement may be modified only by a written agreement signed by both parties, except as provided in Sections 5 and 23. In the event of any conflict between these Terms and Conditions and the Quote, these Terms and Conditions shall control, except that the price, scope of work, service locations, service schedule, billing frequency, term length, and cancellation or notice rights stated in the Quote control over any inconsistent general provision of these Terms and Conditions. No purchase order, vendor portal terms, or other Client document will modify this Agreement, and any such terms are rejected.
If any provision is found unenforceable, it shall be modified to the minimum extent necessary so the remainder remains in full force and effect. Client shall reimburse Pristine Cleaning for reasonable attorneys’ fees and costs incurred in enforcing its rights under this Agreement. All notices shall be in writing and deemed delivered when sent by certified mail, express courier, or email to the addresses listed in the Quote or as otherwise provided in writing. Client consents to receive invoices, service notices, and scheduling communications by email and text message. Client may not assign or transfer this Agreement without Pristine Cleaning’s prior written consent; Pristine Cleaning may assign this Agreement in connection with a merger, reorganization, or sale of all or substantially all of its assets. This Agreement is binding upon the parties and their permitted successors and assigns. A waiver of any breach shall not constitute a waiver of any subsequent breach, and Pristine Cleaning’s failure to enforce any payment term on one occasion is not a waiver of that term.
This Agreement shall be governed by and construed under the laws of the State of Maryland, without regard to its conflict of laws principles, and any dispute shall be brought exclusively in the state or federal courts located in Frederick County, Maryland. Each party consents to that jurisdiction and venue and, to the maximum extent permitted by law, waives any right to trial by jury. Any claim against Pristine Cleaning arising out of or relating to this Agreement or the Services must be brought within one (1) year after the event giving rise to the claim, or it is permanently barred. This Agreement shall not be construed against either party as the drafter, and both parties acknowledge that they have reviewed and approved it as a negotiated business arrangement. Sections 4, 10, 12, 13, and 16 through 24, and any payment obligation accrued before termination, survive termination or expiration of this Agreement. Electronic signatures and electronic acceptance have the same effect as original signatures.
